Terms of Service

Welcome to Tally Counter! These Terms of Service ("Terms") govern your use of the Tally Counter iOS application ("the App") developed by Lado Tatishvili ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Tally Counter, you agree to these Terms. If you do not agree to these Terms, please do not use the App. We reserve the right to update these Terms at any time, and your continued use of the App constitutes acceptance of any changes.

2. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for personal, non-commercial purposes
• Access and use all features and functionality available in the App

This license does not allow you to:

• Modify, reverse engineer, or create derivative works of the App
• Use the App for any illegal or unauthorized purpose
• Remove any proprietary notices from the App
• Resell or redistribute the App

3. App Functionality

Tally Counter provides counting and tracking functionality including but not limited to:

• Creating and managing multiple counters
• Customizing counter appearance and behavior
• Tracking counter history and activity
• Using device features like volume buttons for counting
• Syncing data via iCloud (if enabled)

We strive to ensure the App functions as described, but we do not guarantee uninterrupted or error-free operation.

4. Your Content and Data

All data you create or input into Tally Counter ("Your Content") remains your property. You retain all rights to Your Content, and we claim no ownership over it.

You are responsible for:

• The accuracy and legality of Your Content
• Backing up Your Content (we recommend enabling iCloud sync)
• Any sharing of Your Content through the App's export features

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we handle information in the App. By using Tally Counter, you agree to our Privacy Policy.

Key points:

• We do not collect personal data
• All data is stored locally on your device
• We have no access to your counter data
• iCloud sync is optional and controlled by you

6. Acceptable Use

You agree to use Tally Counter only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App in any way that violates applicable laws or regulations
• Attempt to interfere with the proper functioning of the App
• Use the App to track or count anything illegal or harmful
• Attempt to gain unauthorized access to the App's code or systems

7. Intellectual Property

The App and its original content (excluding Your Content), features, and functionality are owned by Lado Tatishvili and are protected by international copyright, trademark, and other intellectual property laws.

Our intellectual property includes but is not limited to:

• The App's source code and architecture
• User interface design and layout
• Icons and visual elements (except system-provided SF Symbols)
• App name and branding

8. Third-Party Services

Tally Counter may interact with iOS system services including:

• iCloud: For optional data synchronization
• iOS Sharing: For exporting counter data
• System Haptics: For tactile feedback
• Accessibility Services: For enhanced usability

These services are governed by Apple's terms and policies. We are not responsible for third-party services.

9. Updates and Changes

We may update the App periodically to:

• Add new features or improve existing ones
• Fix bugs or address security issues
• Ensure compatibility with new iOS versions
• Comply with legal or regulatory requirements

Updates are distributed through the Apple App Store. We recommend keeping the App updated for the best experience.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF INFORMATION

We do not warrant that the App will meet your requirements or operate without interruption or error.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APP

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY).

12. Indemnification

You agree to indemnify and hold harmless Lado Tatishvili from any claims, damages, losses, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or data

13. Termination

These Terms remain in effect until terminated. You may terminate by:

• Deleting the App from all your devices
• Ceasing all use of the App

We may terminate or suspend your access to the App immediately, without notice, for any reason, including breach of these Terms.

Upon termination:

• Your license to use the App ends immediately
• You must delete all copies of the App
• Provisions that should survive termination will remain in effect

14. Governing Law

These Terms are governed by the laws of Georgia (the country), without regard to conflict of law principles. Any disputes shall be resolved in the courts of Georgia.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lado Tatishvili regarding Tally Counter and supersede any prior agreements.

17. No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

19. Acknowledgment

BY USING TALLY COUNTER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
